Terms of Use

The terms that govern your access to and use of the Dazie website and operational intelligence platform.

These Terms of Use ("Terms") are a legal agreement between you and Dazie AI LLC ("Dazie," "we," "us," or "our") and govern your access to and use of the website at dazie.ai, our General Availability waitlist, our gated members portal, our pulse assessments, and any related services we provide (together, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Dazie is an operational intelligence platform for home health and hospice agency leadership. When Dazie reaches General Availability, paid use of the platform may also be governed by a separate subscription or services agreement, including any data processing or business associate terms, which will control over these Terms to the extent of any conflict for that use.

Eligibility and authority

You must be at least 18 years old to use the Service. If you use the Service on behalf of an agency or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

The website and platform

The Service provides operational intelligence for agency leadership. It surfaces signals such as burnout risk, referral leakage, documentation burden, and operational performance, and it provides recommended actions. Dazie does not chart, schedule, or bill.

The Service is offered in early access ahead of General Availability. Early access features may be incomplete, may change, and may be modified or discontinued at any time. We may add, change, suspend, or remove features without liability to you.

Early access and waitlist

Joining the General Availability waitlist lets us notify you when Dazie becomes available. It does not create any obligation for us to provide the Service to you, and it does not guarantee access, pricing, or a launch date. Waitlist signup uses a work email address and is subject to our Privacy Policy.

Accounts and access

Access to the members portal is limited to authorized users. You are responsible for keeping your access credentials confidential and for all activity that occurs under your access. You agree to notify us promptly of any unauthorized use. We may suspend or revoke access at any time, including to protect the Service or other users.

Acceptable use

You agree not to:

  • Use the Service in violation of any law or regulation, or to infringe the rights of others.
  • Access or attempt to access areas of the Service you are not authorized to use.
  • Reverse engineer, decompile, scrape, or copy the Service or its underlying technology, except as permitted by law.
  • Interfere with or disrupt the integrity, security, or performance of the Service.
  • Upload malicious code, or use the Service to transmit unlawful, harmful, or misleading content.
  • Use the Service to build a competing product, or resell or sublicense it without our written permission.

Intellectual property

The Service, including its software, design, text, graphics, the Dazie name and logo, and all related intellectual property, is owned by Dazie or its licensors and is protected by law. Subject to these Terms, we grant you a limited, non exclusive, non transferable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved. You may not use our name, logo, or branding without our prior written permission.

Your content and submissions

You may submit data and content to the Service, such as operational inputs, workbook entries, and pulse responses ("Your Content"). You retain ownership of Your Content. You grant us the rights needed to host, process, and use Your Content to operate and improve the Service and to provide insights to the relevant agency, consistent with our Privacy Policy and any separate agreement with your agency.

You are responsible for the accuracy of Your Content and for having the rights and permissions needed to provide it. Do not submit information you are not authorized to share.

Third party services and links

The Service relies on third party providers, such as our hosting and email providers, and may link to third party websites. We are not responsible for third party services or content, and your use of them may be subject to their own terms and policies.

Disclaimers

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the Service will be uninterrupted, error free, or secure, or that insights will be accurate or complete.

Limitation of liability

To the fullest extent permitted by law, Dazie and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim arising out of or related to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred United States dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to indemnify and hold harmless Dazie and its personnel from and against claims, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of the Service, Your Content, or your violation of these Terms or of applicable law.

Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. You agree that the state and federal courts located in Miami-Dade County, Florida will have exclusive jurisdiction over any dispute arising out of or related to these Terms or the Service, and you consent to personal jurisdiction in those courts, except where prohibited by law.

General terms

Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above. Your continued use of the Service after an update means you accept the revised Terms.

Severability and waiver

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it.

Assignment and entire agreement

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and any separate agreement with your agency, are the entire agreement between you and Dazie regarding the Service.
